 "The Anatomy of a Deal" 

Abstract: As predicted by our March 2010 Luncheon speaker, the M&A market in chemicals is picking up. Recent evidence includes Bain Capital’s acquisition of Styron from Dow, and the acquisition of Cognis by BASF, after 9 years of private equity ownership by Permira. Where are today’s opportunities and what are the key elements critical in making a transaction work? 

Join friends and colleagues from the chemical, investment, legal and financial professions for a unique panel discussion on “The Anatomy of a Deal”.  This special event is sponsored and moderated by Houlihan Lokey, the #1 rated M&A advisor for all US Industrial transactions by Thomson Reuters. PANEL BIOGRAPHIES:

Christopher D. Cerimele

Mr. Cerimele is a Director in Houlihan Lokey’s Chicago office. He is a member of the Industrials Group and is Head of Chemicals for the firm. Chris has approximately 15 years of experience in finance and investment banking for chemical and industrial companies.  His chemical clients have included Akzo Nobel, American Pacific Corp, American Vanguard, Catalent Pharma Solutions, Cognis Corp, Dow Chemical, Gencorp, HaasTCM, Kuraray, Lamberti, Lanxess, Marubeni, Polynt, Sekisui, Solvay, and Syrgis Performance Products, among many others. Prior to joining Houlihan Lokey, Mr. Cerimele spent more than seven years with Lincoln International, where he founded the firm’s chemicals practice and served as the firm’s Global Co-Head of Chemicals and Head of Chemicals for North America.  Under his leadership, Lincoln completed 25 chemicals transactions from 2006 to 2009, including eight in 2009.  Previously, Mr. Cerimele worked in the corporate finance department of Credit Suisse First Boston and Sony Corporation.  He began his career as an auditor with KPMG Peat Marwick. Mr. Cerimele earned a B.S. in accounting from the University of Southern California and an M.B.A. in finance and accounting from the University of Chicago Graduate School of Business. He is Certified Public Accountant and is registered with FINRA (formerly the NASD) as a General Securities Principal (Series 7, 24 and 63).

Jeff Kolke

In his current position as Senior Vice President, Jeff is responsible for origination to corporations and intermediaries to support their strategic initiatives. Through structured secured debt products, Mr. Kolke facilitates recapitalizations, mergers, acquisitions, restructuring, leveraged buyouts and many other corporate strategies. These products include senior cash flow, asset based, securitizations, second lien, and mezzanine.  He joined GE Plastics in 1997 as a National Account Manager serving the automotive industry. In 2000 he was promoted to VP Industry Manager – Chemicals & Plastics of GE Commercial Financial Services in Stamford, CT.  In 2002, Jeff joined GE’s Corporate Lending Group originating over $1B in asset based and cash flow facilities within the Chemical & Plastics industry. Since 2006, he has also gained responsibility for developing relationships with CL’s key intermediaries in Illinois.  Jeff was born in Chicago, Illinois.  He attended the University of Illinois and graduated with a B.S. degree in Chemical Engineering. He has also earned a Masters in Business Administration.  Jeff started his career working for National Starch & Chemical and Nalco Chemical, where he held increasing responsibilities in chemical engineering, sales and marketing positions.

Bill Rowland

In his postion as a partner with Jones Day, on of the worlds leading law firms, Bill Rowland advises public and private companies, and private equity and venture capital firms, focusing primarily on mergers and acquisitions, joint ventures, strategic alliances, corporate governance, and general corporate counseling, including complex multicountry transactions. He oversees the transactional practice in the Atlanta Office.  Bill has more than 20 years of transactional experience spanning a broad range of industries, including chemicals, manufacturing, minerals, media, telecommunications, business services, software, and biotech. He has represented clients based in North America, Europe, and Asia. Companies with which Bill has worked on substantial matters include  Eastman Chemical, Elekta AB, J.M. Huber Corporation, Rhodia, Sumitomo Chemical, and Vedior.  Bill is a frequent speaker on a variety of transaction-related topics. He is active in the community, where he currently serves on the Economic Development Committee of the Metro Atlanta Chamber of Commerce and the board of directors of the Alliance Theatre and Chinese Children Charities. He is a member of the Leadership Atlanta Class of 2009.

Drew Shea

Drew joined GenNx360 Capital Partners in 2009 as a Managing Partner after three years at Allied Capital Corporation, where he was responsible for sourcing, structuring, and overseeing equity and debt investments on behalf of Allied's multi-billion dollar investment portfolio. He has close to 20 years of experience in the middle market both as an investor and an M&A advisor at Merrill Lynch and at Bear Stearns where he started his career.  Drew has successfully invested over one billion dollars in a diverse group of middle market businesses including the nation's fourth largest window manufacturer, a prominent protective equipment manufacturer and a large oilfield services company, National-Oilwell. He is a former board member of Atrium Inc., Riddell Sports Group, and 3SI Security Systems.  Drew earned his BA in History and a law degree from Georgetown University.

Ray Newhouse

Ray has served as Chief Financial Officer of LANXESS North America since October 2008. He began his career in public accounting with Arthur Andersen in New York City in 1971. He joined Mobay Corporation in 1980 as an internal auditor. Ray held positions with a variety of businesses and staff functions, including organic and inorganic chemicals, fibers, rubber, plastics, polyurethanes, coatings, engineering, and financial data systems. Immediately before joining LANXESS in 2004, Ray was vice president of business planning, reporting, and controlling for Bayer Polymers Americas.  He earned his M.B.A. from Wheeling Jesuit University and holds a B.S. in accounting from Waynesburg College. Ray is a Certified Public Accountant.
